Triona strengthens its position in the Finnish market through strategic acquisition

Triona is pursuing a strategic acquisition in Finland by acquiring 100% of the shares in Marjetas Academy Oy, thereby strengthening its position in the Finnish market.

Triona AB has today signed an agreement to acquire all shares in Marjetas Academy Oy. The total purchase price amounts to EUR 970,000. The purchase price is intended to be paid 40% through a non-cash issue, where shares in Triona AB are issued as payment in exchange for assets in the form of shares in Marjetas Academy Oy. The remaining amount will be paid in cash. Triona AB’s Board of Directors intends to utilize the authorization granted by the General Meeting to issue shares as partial payment for the acquisition.

The shares will be issued at SEK 48 per share, based on the average share price the past 12 months. The value of the contributed assets has been assessed to correspond to the market value of the shares being issued. The non-cash issue will result in a dilution of approximately 1.56% for existing shareholders.

Marjetas Academy Oy reported a turnover of EUR 1 million in the previous year and have 10 employees. Marjetas has a strong customer base consisting of several Finnish municipalities and the Finnish Transport Infrastructure Agency (FTIA), to whom they provide consulting services and software solutions aimed at streamlining the operation and maintenance of transport infrastructure.

Through this acquisition, Triona strengthens its position and gains deep expertise in transport infrastructure through software and consulting services.
